Hyldgaard & Larsen sold to Dedicare

Hyldgaard & Larsen A/S has sold Hyldgaard & Larsen Bosteder ApS, Hyldgaard & Larsen Støtte ApS and Hyldgaard & Larsen Sjælland ApS to the listed Swedish health and social care group Dedicare AB. As part of the same transaction, Sustina ApS and Sustina Bo ApS were also sold to Dedicare.

Hyldgaard & Larsen is a private-sector provider of specialised social care services to the public sector. The company operates residential care facilities pursuant to Sections 107 and 108 of the Danish Social Services Act and works with municipalities under long-term contracts.

Hyldgaard & Larsen operates a total of 100 residential places across North and Central Jutland and Zealand. Its services are aimed at adults aged 17–85 who require extensive, around-the-clock social care and educational support due to significant disabilities, social challenges and challenging behaviour.

Hyldgaard & Larsen is recognised as a leading provider in its market and has built a strong reputation among its municipal partners.

Sustina provides social care and educational support, professional supervision and training, family therapy, mentoring programmes and support for individuals living in their own homes pursuant to Section 85 of the Danish Social Services Act.

The divested companies employ a total of just over 300 people and generate EBITDA of approximately DKK 20 million.

Dedicare is the Nordic region’s largest provider of healthcare and social care services. A significant part of its business comprises the recruitment and placement of medical specialists within the public healthcare system. However, a growing part of the group’s activities focuses on specialised, evidence-based services for vulnerable children, young people and adults. Dedicare works closely with municipalities and public authorities to promote stability, personal development and well-being through individually tailored programmes.

The sellers of Hyldgaard & Larsen, Eva Hyldgaard and Thomas Larsen, will both continue in their current roles and, in connection with the transaction, have become shareholders in Dedicare AB.

Hyldgaard & Larsen was sold through a structured process in which Sesam Partners presented the acquisition opportunity to a selected group of Danish and international strategic and financial buyers. Sesam Partners managed the entire sale process, including the preparation of marketing materials and buyer lists, management presentations, due diligence, and negotiations with the successful buyer.
